Ballard Power Systems Inc., which is a global leader when it comes to hydrogen fuel cell technology, has announced the completion of the GeoPura Limited acquisition, which is a leading supplier of zero-emission, hydrogen-based power solutions in the UK.
Established in 2019, the mission of GeoPura is to provide dependable, zero-emission power, whenever and wherever it is needed. They develop, manufacture, and run their category-defining Hydrogen Power Unit™, or HPU™, that provides pure, low-noise, off-grid power with 6-9’s dependability. The backbone of these advanced systems is Ballard fuel cell modules that produce clean electricity from hydrogen. GeoPura makes green hydrogen using electrolysis at its specialized manufacturing plants and distributes it through the largest compressed hydrogen distribution fleet in the UK.
It is worth noting that this acquisition goes on to make Ballard an integrated hydrogen energy solutions supplier. The combination of GeoPura’s HPU™ platform, fuel production, and logistics with leading fuel cell technology from Ballard provides a complete Integrated Energy-as-a-Service – EaaS solution, allowing Ballard to establish itself as a single-source zero-emission energy solution provider for its customers. By becoming an integrated hydrogen energy solutions supplier, this complete end-to-end capability solidifies the market position of Ballard throughout Europe, unlocks fresh commercial possibilities in North America, and reinforces the long-term strategy of the company of achieving profitability that is sustainable along with rapid growth.

Interestingly, the transaction agreement has a full upfront consideration of £275.0 million, which includes £82.5 million in cash and 49,584,212 newly released Ballard common shares as well as restricted share units to be redeemed in 12 months for a further 1,084,540 Ballard common stock.
On a pro forma basis, former GeoPura shareholders own roughly 14.1% of the outstanding common shares of Ballard. GeoPura could achieve certain post-closing financial objectives, which, if met, will result in a further predetermined payment of a maximum of £27.5 million, which is payable by Ballard.
In effect, upon closing, Andrew Cunningham has been designated president of Ballard and will report directly to Marty Neese, the chief executive officer. Apparently, Andrew Cunningham, as well as Lord Richard Harrington, who is the former UK Business and Industry Minister and Chairman of GeoPura, has also been appointed by the former GeoPura shareholders as standard nominees to the Board of Directors of Ballard.
